Licence statement

This is an agreement between you, the user, and Mimosa Software Ltd. By using this Software you are agreeing to be bound by the terms of this agreement.

This Software is protected by copyright law of Finland and the international copyright treaty provisions. You may make archival copies of the Software for the sole purposes of backing up the Software and protecting your investments from loss. You must treat this software just like a book, but with the following exception: if you have Mimosa Site Licence, it gives you the right to copy and use this Software in several computer locations, provided that they all belong to the institution, company or person that has ordered the application or has the legal right to use the application on the site that is displayed in the Help|About box. You are also allowed to use this software on your home computer. If you have Mimosa Single-User Licence, you can use the Software only in one computer.

EULA stands for End User Licensing Agreement. This is the agreement through which the software is licensed to the software user.

End-User licence Agreement ("EULA") is a legal agreement between you and Mimosa Software Ltd. By installing, copying, or otherwise using the Mimosa Scheduling Software, you agree to be bound by the terms of this EULA. This licence agreement represents the entire agreement concerning the program between you and Mimosa Software Ltd., (referred to as "licenser"), and it supersedes any prior proposal, representation, or understanding between the parties. If you do not agree to the terms of this EULA, do not install or use the Mimosa Scheduling Software.

Mimosa Scheduling Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. Mimosa Scheduling Software is licensed, not sold.

1. GRANT OF LICENCE.
Mimosa Scheduling Software is licensed as follows:
(a) Installation and Use.
Mimosa Software Ltd. grants you the right to install and use copies of the Mimosa Scheduling Software on your computer running a validly licensed copy of the operating system for which the Mimosa Scheduling Software was designed or is compatible with [e.g., Windows, Mac OS and Linux].
(b) Mimosa Single-User Licence: You are licensed to install this software on one computer only. If you do not wish to use this software on this computer you must uninstall it before installing the software on another computer. If you use the software on this computer and later wish to start using it on a different computer you must contact Mimosa Software Ltd. and either request a licence transfer or upgrade to a Mimosa Site Licence in order to use your files on another computer. Mimosa Software Ltd. retains the right to charge for each licence transfer.
(c) Mimosa Site Licence: You are licensed to install and use this software on all computers in your organisation.
(d) Backup Copies. You may also make copies of the files Mimosa Scheduling Software creates as may be necessary for backup and archival purposes.
2. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS.
(a) Maintenance of Copyright Notices.
You must not remove or alter any copyright notices on any and all copies of the Mimosa Scheduling Software.
(b) Distribution.
You may not distribute registered copies of the Mimosa Scheduling Software to third parties. Evaluation versions available for download from Mimosa Software Ltd.'s websites may be freely distributed.
(c) Prohibition on Reverse Engineering, Decompilation, and Disassembly.
You may not reverse engineer, decompile, or disassemble the Mimosa Scheduling Software, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
(d) Rental.
You may not rent, lease, or lend the Mimosa Scheduling Software.
(e) Support Services.
Mimosa Software Ltd. provides you with support services, such as free updates, free email and phone support, related to the Mimosa Scheduling Software ("Support Services"). Any supplemental software code provided to you as part of the Support Services shall be considered part of the Mimosa Scheduling Software and subject to the terms and conditions of this EULA.
(f) Compliance with Applicable Laws.
You must comply with all applicable laws regarding use of the Mimosa Scheduling Software.
3. TERMINATION
Without prejudice to any other rights, Mimosa Software Ltd. may terminate this EULA if you fail to comply with the terms and conditions of this EULA. In such event, you must destroy all copies of the Mimosa Scheduling Software in your possession.
4. COPYRIGHT
All title, including but not limited to copyrights, in and to the Mimosa Scheduling Software and any copies thereof are owned by Mimosa Software Ltd. or its suppliers. All title and intellectual property rights in and to the content which may be accessed through use of the Mimosa Scheduling Software is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This EULA grants you no rights to use such content. All rights not expressly granted are reserved by Mimosa Software Ltd.
5. NO WARRANTIES
Mimosa Software Ltd. expressly disclaims any warranty for the Mimosa Scheduling Software. Mimosa Scheduling Software is provided 'As Is' without any express or implied warranty of any kind, including but not limited to any warranties of merchantability, noninfringement, or fitness of a particular purpose. Mimosa Software Ltd. does not warrant or assume responsibility for the accuracy or completeness of any information, text, graphics, links or other items contained within the Mimosa Scheduling Software. Mimosa Software Ltd. makes no warranties respecting any harm that may be caused by the transmission of a computer virus, worm, time bomb, logic bomb, or other such computer program. Mimosa Software Ltd. further expressly disclaims any warranty or representation to Authorized Users or to any third party.
6. LIMITATION OF LIABILITY
In no event shall Mimosa Software Ltd. be liable for any damages (including, without limitation, lost profits, business interruption, or lost information) rising out of 'Authorized Users' use of or inability to use the Mimosa Scheduling Software, even if Mimosa Software Ltd. has been advised of the possibility of such damages. In no event will Mimosa Software Ltd. be liable for loss of data or for indirect, special, incidental, consequential (including lost profit), or other damages based in contract, tort or otherwise. Mimosa Software Ltd. shall have no liability with respect to the content of the Mimosa Scheduling Software or any part thereof, including but not limited to errors or omissions contained therein, libel, infringements of rights of publicity, privacy, trademark rights, business interruption, personal injury, loss of privacy, moral rights or the disclosure of confidential information.

Any other kind of use of this Software violates the copyright of Mimosa Software Ltd. You may not decompile, reverse engineer or disassemble the Software, except as permitted by law. You are not allowed to resell this software for your own profit or claim to hold rights to this software. Although you may have the right to use this Software, it will remain the exclusive property of Mimosa Software Ltd.
